Terms and Conditions

This agreement (the “Agreement“) is made and entered into by and between Growlent (“the Company“) and its Clients (“Clients“) and governs the terms and conditions of their use of Growlent’s services as well as the participation of independent headhunters/recruiters/sourcers (“Recruiters“) within the Growlent system (Clients and Recruiters shall be collectively referred to as “Users”).

1. Use of the Website

By accessing and using the Growlent website, Users agree to be bound by the Terms and Conditions stated in this Agreement. If Users do not agree with any part of this Agreement, they are advised to refrain from using the website. This also applies to all future updates of these Terms and Conditions.

2. Anonymity

All Users participating in this Agreement shall remain anonymous and will be known only by the Company. The confidentiality and anonymity of the Users are of utmost importance to the success of the recruitment process.

3. Independent Employment Status

Recruiters acknowledge and agree that their employment status remains independent. This Agreement does not create any joint venture, partnership, employment, or agency relationship between the Company and the individual Recruiter or their current employer. The Recruiter is solely responsible for its employment status, and the Recruiter Agreement serves as a service contract and not an employment contract.

4. Ownership and Intellectual Property

The Growlent website and all its contents, including but not limited to text, graphics, logos, trademarks, and software, are owned and controlled by the Company. No part of the website may be used, copied, modified, or distributed without explicit permission from the Company.

5. Website Downtimes

The Company shall make reasonable efforts to ensure the availability and functionality of the website. However, the Company does not warrant that the website will be uninterrupted, timely, secure, or error-free.

6. Modification of Terms and Conditions

The Company reserves the right to modify or update the Terms and Conditions as necessary or as deemed fit by the Company. The updated Terms and Conditions shall be effective upon publication on the website.

7. Process for Joining as a Recruiter

To become an active member of the Growlent network, Recruiters must register by completing the online registration form on the website. Recruiters will undergo a vetting process. Post successful vetting, the Company shall send the Recruiter a confirmation email. The Recruiter’s agreement to use the Services on these Terms commences on the date of the Confirmation Email. Recruiters are responsible for maintaining the confidentiality of their personal information and accepting responsibility for all activities.

8. User Obligations

Users agree to provide accurate information and comply with applicable laws in their jurisdiction. Users are expected to behave professionally and ethically when interacting and must not use the website for any unlawful, harassing, abusive, or harmful activities. Users must not engage in any behavior that encourages criminal offenses or results in civil liability or breaches any laws and regulations.

9. Client’s Use of the Website

Clients may use the Growlent website to access services provided by the Company and can initiate contact with the Company for recruitment services.

10. Services Offered by Growlent

10.1. Provision of Qualified CVs (“Profiles”): As part of the service, the Company will provide Clients with qualified CVs (“Profiles”) that meet the requirements set forth in the job postings. Clients agree to keep the shared Profiles confidential and only use them for recruiting, hiring, and managing individuals for positions at their organizations.

10.2. Recruiter Services: The Recruiter shall provide services to Growlent in connection with the job roles and scope of work made electronically available to the Recruiter in accordance with the respective service contract. Growlent undertakes all business development and Client engagement activities and offers the following services to its Clients through the Recruiters:

  • Crowdsourcing: Procuring optimal talents that resonate with the Client organization’s culture and vision. This process may involve comprehensive sourcing or referring suitable candidates to the Client.
  • Appointment of Short-Term Recruiters: Providing experienced recruiters on a short-term basis for temporary, project-based, or permanent positions.
  • Recruitment Services: Offering tailored ad-hoc recruitment services to meet the unique needs of the Client.
  • Learning and Development: Facilitating access to talent development programs and courses.

10.3. Role Sharing and Application: Upon qualification and approval of a role by Growlent for crowdsourcing, the role shall be shared with the network electronically. Recruiters can apply for the role, agree on the commission, and share candidates’ CVs.

10.4. Types of CVs: Recruiters provide CVs in two categories:

  • Sourced CVs: Procured actively by the Recruiter, where candidates are aware of the job and have expressed interest.
  • Referred CVs: Obtained through the Recruiter’s network, where candidates may not have prior knowledge of the job.

10.5. Sourcing and Referral Guidelines: By agreeing to this Agreement, Recruiters acknowledge adherence to the Growlent Sourcing and Referral Guidelines.

10.6. Submission Requirements: For crowdsourcing services, candidate submissions must include the original candidate’s CV and, if required, the Growlent’s template summary slide.

10.7. Representation Rights: The first Recruiter to submit a sourced CV has exclusive representation rights for that candidate for a specific role for six months. Sourced CVs have priority over referred CVs.

10.8. Anonymity of Recruiters: All Recruiters shall remain anonymous and will be known only by Growlent.

11. Unpaid Fees

In the event of unpaid fees by the Clients on time, late payment penalties may apply at a rate of 1.5% per month.

12. Use of Client’s Name and Logo

The Company may use the name or logo of Clients to reference them as Clients of Growlent for promotional materials or on the website.

13. Privacy and Data Collection

Users’ use of Growlent is subject to Growlent’s Privacy Policy, which outlines how personal information is collected, used, and protected. By using Growlent, Users consent to the collection and use of their data as described in the Privacy and Date Policies.

14. Use of Cookies

The Company uses cookies and similar tracking technologies to enhance Users’ experience. By using the website, Users consent to the use of cookies as described in our Cookie Policy.

15. Liability and Disclaimers

The Company does not provide any warranties, express or implied, regarding the accuracy, reliability, or availability of the website or services. Users acknowledge and agree that the use of the website is at their own risk.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising from or related to this Agreement shall be resolved in accordance with the Dispute Resolution Policy.

17. Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior written or oral agreements.

19. Amendments to the Terms and Conditions

For each update released for the Terms and Conditions, the Company shall provide a general statement to Users indicating the changes and their effective date.

20. Termination

The Company reserves the right to terminate access to the website and services for any user, at any time and for any reason, including but not limited to breach of these Terms and Conditions.

21. Limitation of Liability

Under no circumstances shall the Company be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from the use of or inability to use the website or services.

22. Indemnification

Users agree to indemnify, defend, and hold harmless the Company, its directors, employees, and agents from and against all claims, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or related to their violation of these Terms and Conditions or misuse of the website or services.

23. Policies and Guidelines Acceptance

By signing this Agreement via the website, the Users automatically accept and agree to adhere to all policies and guidelines available on Growlent’s website.

Recruiter Agreement

This Recruiter Agreement (referred to as the “Agreement“) is entered into between a professional working as an independent headhunter/recruiter/sourcer (referred to as “Recruiter” or “you“) and Growlent, a free zone limited liability company in the UAE. It governs the terms and conditions of your participation as a Recruiter in all communications, interactions, and collaborations with Growlent.
Growlent and Recruiter may each individually be referred to as “Party” and collectively as “Parties.”

1. Acceptance of Agreement

1.1 By indicating your interest to participate as a Recruiter in Growlent’s recruiting services through its official website, you expressly acknowledge and agree to be bound by the terms and conditions of this Agreement, including any future amendments or updates that may be made. Your expression of interest constitutes your acceptance and agreement to comply with all provisions set forth herein, and all the terms and conditions, policies and guidelines available on the website of Growlent.

1.2 Growlent reserves the right, at its sole discretion, to modify or replace any part of this Agreement at any time. The Recruiter’s continued provision of services through Growlent subsequent to such modifications implies their acceptance of the updated or amended terms.

2. Definitions

2.1 The following terms shall be capitalized throughout this Agreement and shall be defined as follows:

  • CV: The term CV refers to the curriculum vitae, resume, profile, and/or candidate data submitted by Recruiter for consideration of job openings shared with the Recruiter electronically.
  • Disqualified CV or Disqualified: A CV reviewed by Growlent or its designated agents and disqualified for consideration of the job opening for which it was submitted. No further actions will be taken on Disqualified CV’s.
  • Approved CV or Approved: A CV reviewed by Growlent or its designated agents and approved for further consideration of the job opening for which it was submitted. Approved CV’s may be submitted to Growlent clients for consideration of the applicable job opening.
  • Commission or Bounty: The term “Commission” or “Bounty” refers to the applicable fee paid to the Recruiter for each successfully hired candidate by the client.

3. Working as a Recruiter

3.1 REGISTRATION

3.1.1 To participate as a Recruiter, you must submit your interest through Growlent’s official website and agree to this Agreement.

3.1.2 As a Recruiter, you will be working for Growlent in your individual capacity, utilizing your expertise in the field of recruitment.

3.2 COMMUNICATIONS

3.2.1 By submitting your interest, you give permission for Growlent to communicate with you electronically or through any other modes of communication, in regard to any activity related to Growlent’s services.

3.2.2 As a Recruiter, you will receive alerts electronically when new opportunities are available. You are invited to claim these opportunities through submitting CVs for consideration (crowdsourcing) or apply for the contractual jobs based on the shared scope.

4. Anonymity of Recruiter

4.1 The Recruiter shall remain anonymous and will be known only by Growlent. The confidentiality and anonymity of Recruiters are of utmost importance to the success of the recruitment process.

4.2 The Recruiters shall not disclose their identities or contact information to any client without prior written consent from the Company.

4.3 Growlent will act as the intermediary between Recruiters and clients, facilitating the communication and exchange of necessary information while maintaining the anonymity of Recruiters.

4.4 Recruiters are required to comply with all confidentiality and data protection regulations and guidelines set forth by Growlent.

4.5 Any breach of the anonymity requirements by a Recruiter may result in immediate termination of this agreement.

5. Recruiter Services

5.1 The Recruiter shall provide services to Growlent in connection with the opportunity made electronically available to the Recruiter.

5.2 Growlent shall undertake all business development and client engagement activities. Growlent will be offering the following services to its clients through the Recruiters:

  • Crowdsourcing: Procuring optimal talents that resonate with the client organization’s culture and vision. This process may either involve comprehensive sourcing, which includes identifying potential candidates, engaging in communications with them, and aiding in their selection and hiring by the client, or it could be referring suitable candidates.
  • Appointment of Short-Term Recruiters: Providing experienced recruiters on a short-term basis. These professionals will cater to all types of recruitment needs based on the agreed scope communicated by Growlent.
  • Recruitment Services: Offering a wide range of on-demand recruitment services based on a scope communicated by Growlent and agreed by the Recruiter.
  • Learning and Development: Facilitating access to a range of talent development programs and courses.

5.3 Crowdsourcing process

5.3.1 Upon qualification and approval of an opportunity by Growlent, the opportunity shall be shared with the network electronically. The Recruiter shall be invited to apply for the role and agree on the commission. Once they apply and agree on the commission, they will be able to share the candidates’ CVs.

5.3.2 In compliance with Section 5.2(a) the Recruiter shall provide CVs in two distinct categories:

  • Sourced CVs: Sourced CVs are those procured by the Recruiter through their own active efforts and resources. These CVs undergo comprehensive sourcing, screening and evaluation processes by the Recruiter. Sourced candidates are aware of the specific job and have expressed interest in the opportunity.
  • Referred CVs: Referred CVs are those obtained through the Recruiter’s professional network or contacts. Referred candidates may not have been subjected to screening and evaluation as sourced candidates. Additionally, referred candidates may not have prior knowledge of the specific job or expressed interest in the opportunity.

5.3.3 By agreeing to this Agreement, you acknowledge that you will abide by the Growlent Sourcing and Referral Guidelines, which outline the preferred practices and standards for sourcing and referring candidates

5.3.4 In the case of crowdsourcing service, candidate submissions must include the original candidate’s CV, and the Growlent’s template summary slide – profiles (if required).

5.3.5 The Recruiter who first submits a sourced CV shall have the exclusive right to represent that candidate for that specific role for a period of six (6) months from the date of submission, whereas referred CVs are not subject to such rights. In case of duplication, the sourced CVs will be given priority over the referred CVs. The submission of a sourced CV implies that comprehensive sourcing has been conducted and the candidate’s qualifications align with the role requirements to the best of the Recruiter’s knowledge and belief.

5 .3.6 All Recruiters shall remain anonymous and will be known only by Growlent.

6. Appointment of Short-Term Recruiters, Recruitment Services, and Learning and Development process

Upon qualification and approval of an opportunity by Growlent, the opportunity will be electronically shared within the network. The Recruiter will be invited to apply for the opportunity, and successful selection is subject to meeting specified criteria and participating in required interviews. Upon selection, the Recruiter will receive a service agreement contract outlining all the terms of the agreement and the scope of work.

7. Performance Standards and Monitoring

7.1 Growlent is committed to providing high-quality services to its clients and thus, limits Recruiter participation to only those Recruiters who perform in accordance with the performance standards set by Growlent.

7.2 Recruiters will be measured and monitored against their overall performance periodically (i.e., the amount of Approved CV’s against the total submitted). Growlent reserves the right to set specific targets against which Recruiters will be measured.

7.3 Growlent operates a performance-based system for Recruiters, with multiple levels assigned based on the achievement of targets and key performance indicators (KPIs). The specific details of each level, including the eligibility criteria and benefits associated with each level, will be provided to the Recruiter separately as part of the onboarding guidelines. The Recruiter agrees to comply with the guidelines and requirements outlined for each level and acknowledges that their performance will be continuously assessed based on these criteria.

7.4 In the event a Recruiter consistently fails to meet the performance standards, Growlent may implement a performance improvement plan, which could include additional training or resources to assist the Recruiter in improving their performance.

7.5 In the event a Recruiter consistently fails to meet the performance standards, even after the implementation of a performance improvement plan, Growlent reserves the right to terminate this Agreement in accordance with the termination provisions set forth herein.

7.6 Any disputes pertaining to performance metrics, standards, obligations, or adherence to Growlent’s guidelines will be addressed in accordance with the dispute resolution provisions delineated in this Agreement. In the event of a perceived breach of these aspects, Growlent reserves the right to issue a written warning to the Recruiter.

7.7 The Recruiter agrees to keep all information about their performance metrics and targets confidential, in accordance with the confidentiality provisions set forth in this Agreement.

7.8 Growlent reserves the right to modify the performance standards or targets as necessary, with prior notice to the Recruiter.

8. Payments

8.1 Pursuant to clause 5.2 of this Agreement, Recruiters are enlisted by Growlent to render an array of services, which may range from the sourcing of personnel in alignment with the client organization’s culture and vision to the facilitation of comprehensive talent development programs. The compensation for each service (the “Service”) shall be determined by Growlent in its absolute discretion, contingent upon an array of factors, inter alia, the intricacy of the role, the character of the Service tendered, and the specific mandates of the client.

8.2 The terms of remuneration for each Service shall vary from client to client. The particular terms and conditions applicable to each client will be established following thorough deliberation and subsequent consensus amongst all parties implicated.

8.3 Subsequent to the receipt of payment from the client for a specified Service, Growlent undertakes to disburse the concurred remuneration to the Recruiter, ensuring that such payment shall be executed within a duration not surpassing seven (7) days from the date of receipt of said client payment.

8.4 As a part of Growlent’s incentive program, Recruiters may be eligible for awards such as ‘Recruiter of the Month’ and ‘Recruiter of the Year’. These awards will be based on performance metrics determined by Growlent. Additionally, Growlent may offer referral programs related to the introduction of new Recruiters to the network. The specific details and guidelines for these programs will be communicated separately, as part of the onboarding guidelines shared upon the successful onboarding of the Recruiter.

8.5 Payment shall be made via wire transfer to the account details provided by the Recruiter. The Recruiter acknowledges and agrees that the bank account provided must comply with all applicable laws and regulations, including any restrictions on international transfers or sanctioned countries. Growlent reserves the right to verify the validity and acceptability of the provided bank account and may request additional information or documentation if necessary.

9. Representations and Warranties

9.1 By submitting any Content to Growlent, the Recruiter hereby represents and warrants that they possess all necessary rights, title, and licenses to the Content. For the purposes of this Agreement, “Content” refers to any and all text, data, software, graphics, information, images, audiovisual combinations, or other materials submitted, uploaded, imported, communicated, or exchanged. The Recruiter further represents and warrants that the Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or any other legal rights of any third party.

9.2 The Recruiter represents and warrants that they possess the legal right and capacity to enter into this Agreement with Growlent and to provide the freelance services as outlined in this Agreement. The Recruiter further represents and warrants that they are not under any agreement with, or obligation to, any third party that would conflict with the terms of this Agreement.

9.3 The Recruiter shall bear sole responsibility for any third-party liabilities that may arise, including, but not limited to, legal actions brought forth by their agency. The Recruiter’s role in the crowdsourcing service is exclusively to source and supply CVs using any ‘Search’ methodology available to them and/or any personal database of candidates they may possess.

9.4 The Recruiter is permitted to use forms of advertising, provided that no specific information that could lead to the identification of the client is disclosed. The Recruiter is strictly prohibited from making any direct contact with the client.

9.5 In the event that it is detected that the Recruiter has disclosed any such identifiable information in their advertisements, they will be required to promptly remove such information upon Growlent’s request. Non-compliance with this requirement will be regarded as a breach of this Agreement.

10. Independent Contractor Relationship

This Agreement is intended to establish a relationship of independent contractors between the Parties. No agency, partnership, joint venture, or employer-employee relationship is intended or created by this Agreement. The Recruiter acknowledges that they are not an employee of Growlent and are not entitled to any employee benefits. The Recruiter is responsible for all tax obligations arising from payments received under this Agreement.

11. Escrow Account

11.1 Growlent shall establish and maintain a separate escrow account solely dedicated to holding funds for the services rendered by the Recruiter (the “Escrow Account”).

11.2 The Escrow Account shall be exclusively used for processing payments to the Recruiter and shall be maintained in accordance with all applicable financial regulations and standards.

11.3 The Recruiter shall receive its dues from the Escrow Account subject to the terms and conditions of this Agreement.

12.Force Majeure

Growlent shall not be held responsible for any delay or failure in performance of its obligations hereunder to the extent such delay or failure is caused by fire, flood, strike, civil, governmental or military authority, acts of God, acts of terrorism, acts of war, epidemics, the availability of the internet, or other similar causes beyond its reasonable control and without the fault or negligence of Growlent or its subcontractors.

13. Confidential Information

13.1 During the term of this Agreement, the Recruiter may have access to certain non-public and/or proprietary information of Growlent, including without limitation, business plans, strategies, methods and/or practices; technology and technological strategies; marketing plans and strategies; business and financial information and plans; information of individuals whose CVs are forwarded by the Recruiter; and information related to Growlent’s clients or employers (collectively, the “Confidential Information“).

13.2 The Recruiter agrees to maintain all Confidential Information in strict confidence and not to disclose such Confidential Information to any third parties. The Recruiter also agrees not to use any Confidential Information for any purpose except to perform its obligations under this Agreement.

13.3 Upon termination of this Agreement, the Recruiter will return to Growlent, or destroy, all copies of Confidential Information, and will not retain any copies, notes or other derived material relating to the Confidential Information.

13.4 The Recruiter acknowledges that breach of this confidetiality provision would result in irreparable harm to Growlent, for which money damages may be an insufficient remedy, and therefore Growlent will have the right to seek injunctive relief to enforce the provisions of this section.

14. Intellectual Property Protection

14.1 All intellectual property rights in and to Growlent, and any other materials provided by Growlent, including but not limited to software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music (the “Growlent Property”), are owned by Growlent or Growlent’s licensors. The Recruiter shall not acquire any right, title, or interest in or to the Growlent Property, except for the limited rights set forth in this Agreement.

14.2 The Recruiter agrees not to use the Growlent Property except in connection with performing its obligations under this Agreement, and shall not use the Growlent Property for the benefit of any third party. Further, the Recruiter agrees not to use the Growlent Property in any manner that would infringe, violate, dilute or misappropriate any rights of Growlent or its licensors in the Growlent Property, with such rights including, but not limited to, any copyright, trademark, patent, trade secret, privacy, publicity or other intellectual property or proprietary rights

14.3 The Recruiter agrees not to modify, create derivative works of, translate, reverse engineer, hack, or otherwise attempt to uncover or access the source code of any part of the Growlent Property.

14.4 Any violation of this section may result in immediate termination of this Agreement, at Growlent’s sole discretion, and may subject the Recruiter to state and federal penalties and other legal consequences.

15. Indemnification

The Recruiter agrees to indemnify, defend and hold harmless Growlent, its affiliates, and their respective directors, officers, employees, and agents (collectively, “Indemnified Parties“) from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable legal fees, arising from or relating to the Recruiter’s use of Growlent, the Recruiter’s breach of this Agreement, or the Recruiter’s violation of any law or the rights of any third party.

16. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.

17. Interpretation

The section titles in this Agreement are for convenience only and have no legal or contractual effect.

18. Non-Waiver

Failure of Growlent to enforce any provision of this Agreement shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision.

19. Assignment

The Recruiter may not assign their rights and obligations under this Agreement without the prior written consent of Growlent. Growlent may assign its rights and obligations under this Agreement at its sole discretion.

20. Notice

The Recruiter agrees to keep their email address updated and acknowledges that all official communications from Growlent, including notifications, and other relevant communications, will be sent to this email address. The email address may also serve as the Recruiter’s identification (ID) or username for referring other recruiters to Growlent. Any notices to Growlent should be sent to the following address: [Company Address].

21. Entire Agreement

This Agreement, along with the Terms and Conditions, and Growlent’s policies accepted by the Recruiter upon registration, constitutes the entire agreement between the Parties and supersedes any previous agreements or understandings.

22. Electronic Communication

The Recruiter consents to receive electronic communications from Growlent. These communications may include notices about the Recruiter and information concerning or related to the Services. The Recruiter agrees that any notices, agreements, disclosures, or other communications that Growlent sends to the Recruiter electronically will satisfy any legal communication requirements.

23. Termination

23.1 Either party may terminate this Agreement: (a) upon the bankruptcy or insolvency of the other party; or (b) if the other party breaches any material provisions of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach.

23.2 Notwithstanding the foregoing, Growlent may immediately terminate this Agreement if the Recruiter breaches any of the use limitations or prohibitions set forth in this Agreement.

23.3 The Recruiter may terminate this Agreement for convenience upon sixty (60) days prior written notice to Growlent. Growlent may immediately terminate this Agreement for convenience at any time. When terminated for convenience, the Recruiter shall be entitled to receive any Bounty or Commission accrued through the date of termination of this Agreement.

23.4 Growlent reserves the right to immediately terminate this Agreement if it determines, in its sole and absolute discretion, that the Recruiter has falsified, misrepresented, violated applicable laws or otherwise breached the terms and conditions of this Agreement with respect to the submission of candidate’s CVs and related data. In such instances, Growlent shall provide written notice of termination to the Recruiter, detailing the reasons for termination.

23.5 Growlent may immediately terminate this Agreement, without any obligation to provide notice, if the Recruiter breaches any confidentiality or intellectual property provisions of this Agreement. In such instances, any obligations to pay any pending Bounty or Commission or other compensation to the Recruiter may be forfeited at Growlent’s discretion.

24. Dispute Resolution

24.1 In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof (a “Dispute“), the Parties shall first attempt in good faith to settle the Dispute through amicable negotiation.

24.2 If the Dispute cannot be resolved through negotiation within thirty (30) days of the notice of the Dispute, either Party may choose to escalate the matter to the Dubai courts, which shall have exclusive jurisdiction over any legal action arising from this Agreement.

24.3 Both Parties agree to provide full cooperation in the resolution of the Dispute and will promptly comply with any orders or judgments issued by the Dubai courts.

24.4 Pending the resolution of any Dispute, Growlent reserves the right to suspend the provision of services related to the involved recruiter. However, the involved recruiter shall continue to fulfill their obligations under this Agreement unless explicitly suspended by Growlent due to a suspected breach of terms or other justifiable reasons.

24.5 Notwithstanding the foregoing, Growlent may seek injunctive relief or other equitable remedy in any court of competent jurisdiction to prevent or restrain any misuse of its intellectual property rights or any misuse of confidential information or data.

25. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of laws principles. The Parties agree to submit to the exclusive jurisdiction of the courts located in the United Arab Emirates for resolution of any disputes arising from or related to this Agreement.
